These Terms of Service (“Terms”) govern your access to and use of the website northandnovaco.com and any related services provided by North & Nova Co. (“North & Nova,” “we,” “us,” or “our”). By accessing or using our website, forms, funnels, or messaging services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. About North & Nova Co. and Our Services

North & Nova Co. provides “Smart Website” and digital services primarily for local service businesses. Our services may include, but are not limited to:

  • Website and landing page design, development, and hosting
  • Smart Website automation, including contact forms, chat widgets, and booking flows
  • Lead capture, CRM configuration, and basic follow-up workflows
  • Review and reputation management automations
  • Email and SMS notifications, reminders, and related communications
  • Additional digital marketing and consulting services as agreed in writing

Specific features, deliverables, timelines, and responsibilities for a project may be further defined in a separate proposal, order form, or scope of work between you and North & Nova Co. We reserve the right to modify or discontinue services at any time with reasonable notice.

2. Eligibility & Acceptable Use

You may use our website and services only if you:

  • Are at least 18 years old (or the age of majority in your jurisdiction);
  • Have the authority to enter into a binding agreement on behalf of yourself or your business.

You agree not to use our services for any illegal, abusive, or unauthorized purpose, including but not limited to:

  • Sending spam or unsolicited messages in violation of applicable laws (e.g., TCPA, CAN-SPAM);
  • Collecting or processing personal data without proper consent;
  • Uploading or transmitting viruses, malicious code, or any content that may harm systems or data;
  • Infringing on the intellectual property or privacy rights of others;
  • Using our services to distribute illegal content or promote illegal activities;
  • Interfering with or disrupting the integrity or performance of our services.

We may suspend or terminate your access if you violate these Terms.

3. SMS, Email, and Messaging Terms

As part of our services, we may enable or send text messages (SMS/MMS), emails, and other electronic communications on behalf of you or your business to your customers, and/or directly between North & Nova Co. and you as our client.

By providing your mobile number, email address, or other contact information to North & Nova Co., you consent to receive communications from us, which may include account-related messages, onboarding instructions, project updates, appointment confirmations, customer support, billing messages, and occasional service announcements or offers. Message and data rates may apply. Message frequency varies.

When using our platform to send messages to your customers, you are responsible for obtaining valid consent, complying with laws (including opt-in/out requirements), and maintaining your own policies.

Opt-out: Reply STOP to any SMS from us. For help, reply HELP or email [email protected]. We use third-party carriers; no delivery guarantee.

4. Payments, Subscriptions, and Cancellations

Pricing, setup fees, and recurring subscription amounts are specified in our pricing page, proposal, or invoice. Unless otherwise stated:

  • Setup fees are one-time and non-refundable once work begins;
  • Monthly subscriptions bill in advance and renew automatically;
  • You authorize charges to your payment method on file (via processors like Stripe).

Cancel future renewals in writing or via our process. No retroactive refunds unless agreed. We may update pricing with 30 days' notice.

5. Intellectual Property

Our website, branding, templates, designs, automations, workflows, and content are owned or licensed by North & Nova Co. and protected by intellectual property laws. You may not copy, resell, reverse-engineer, or use our trademarks without permission.

Content you provide (logos, images, data) remains yours. You grant us a limited, non-exclusive license to use it solely for delivering services.

6. Disclaimers & Limitation of Liability

No guarantees of specific results, revenue, or leads. Services provided “AS IS” without warranties. We disclaim all implied warranties (merchantability, fitness, non-infringement).

We are not liable for indirect, incidental, consequential, special, or punitive damages (lost profits, data). Total liability capped at fees paid in prior 3 months.

Third-party services (GoHighLevel, Twilio, Stripe) subject to their terms; we are not responsible for their outages or issues.

7. Indemnification

You agree to indemnify, defend, and hold harmless North & Nova Co. from claims, damages, losses, liabilities, costs (including attorneys’ fees) arising from your use/misuse, violations of Terms/law, rights infringement, or content/data you provide/send.

8. Changes to Terms

We may update Terms; changes effective when posted. Continued use accepts updates.

9. Governing Law

These Terms governed by New York laws, without conflict-of-law principles.

Privacy Policy (GDPR, CCPA/CPRA, COPPA, HIPAA, SOC 2)

This Privacy Policy explains how North & Nova Co. collects, uses, protects information when you visit our website, use our services, or interact with us. By using our services, you agree to this Policy.

1. Information We Collect

We collect:

  • Personal data you voluntarily provide (name, email, phone, business details, payment info processed securely by third-party providers)
  • Automatically collected data (IP address, device type, browser, operating system, pages viewed, referral sources, approximate location)
  • Data processed on your behalf if you use our SmartSite services (e.g., form submissions, booking info, SMS replies from your customers)

2. How We Use Your Data

  • Deliver and maintain our services (websites, automations, lead capture, notifications)
  • Communicate with you (support, onboarding, updates, billing)
  • Improve our offerings, analyze performance, enhance user experience
  • Prevent fraud, detect misuse, secure our systems
  • Comply with legal obligations and enforce our agreements

3. Children’s Online Privacy (COPPA Compliance)

Our services are not directed to children under 13. We do not knowingly collect personal information from children under 13. If we learn we have collected such data without verifiable parental consent, we will delete it promptly. Parents/guardians should contact us at [email protected] if they believe their child has provided information.

4. HIPAA Compliance Statement

North & Nova Co. is not a Covered Entity or Business Associate under HIPAA. Our services are not designed to receive, create, maintain, or transmit Protected Health Information (PHI). You must not input, upload, or transmit any PHI through our platform. Doing so is prohibited and may violate HIPAA and our Terms of Service. Use HIPAA-compliant tools for any PHI-related needs.

5. SOC 2 Compliance

We maintain SOC 2 Type 2 compliance covering security, availability, confidentiality, and privacy trust service criteria. Independent third-party audits are conducted to verify controls and processes that protect customer data.

6. California Consumer Privacy Rights (CCPA / CPRA)

California residents have the following rights:

  • Right to Know/Access – categories and specific pieces of personal information collected, used, disclosed
  • Right to Correct – inaccurate personal information
  • Right to Delete – subject to exceptions
  • Right to Opt-Out of Sale/Sharing – we do not sell or share personal information for cross-context behavioral advertising
  • Right to Limit Use of Sensitive Personal Information – we do not use sensitive data beyond permitted purposes
  • Right to Non-Discrimination – no discrimination for exercising rights

We do not sell personal information. We may share with trusted providers (SMS platforms, CRMs, hosting) for service delivery, at your request for integrations, to comply with law, or in business transfers.

We may update this Policy; changes effective when posted. Continued use accepts updates.

Messaging Policy

This Policy describes our use of SMS/MMS, email, and electronic communications. It supplements our Privacy Policy and Terms.

1. Types of Messages We Send

To clients: account setup, support, demos, updates, billing, announcements. To client customers via SmartSite: missed-call texts, confirmations, reminders, reviews.

2. Message Frequency

Varies based on activity (e.g., bookings, support requests). We keep communications relevant.

3. Consent and Opt-In

Providing contact info = consent for service messages. Clients must obtain consent from their customers for messages sent via our platform.

4. Opt-Out and HELP Instructions

Reply STOP to unsubscribe from SMS. Reply HELP for info. Email [email protected] to manage preferences. For client-sent messages, reply STOP to their message; contact business if issues persist.

5. Carrier & Message Fees

Message/data rates apply per your carrier plan. Carriers not liable for delays/undelivered messages. No delivery guarantee.

6. Data Use and Privacy

Use contact info for communications per this Policy/Privacy Policy. Log messages for troubleshooting. Store preferences. Analyze engagement. No selling info; share with providers for delivery.

7. Appropriate Use of Messaging

Prohibited: spam, harassment, illegal content, unsolicited marketing without consent, fraudulent/misleading messages, abusive/harmful content, purchased lists without opt-in. Violations may lead to suspension/termination.

8. Changes to Messaging Policy

Updates effective when posted; continued use accepts changes.
